Named Company Secretary Appointment
It is mandatory for all Singapore incorporated companies to appoint a Company Secretary within 6 months of its incorporation. A Company Secretary must be a resident of Singapore, have sound knowledge of the Singapore Companies Act and undertake the fiduciary responsibility of ensuring that directors and shareholders observe rules and regulations stipulated in the Singapore Companies Act. Nominee Director / Shareholder / Agent
The Singapore Companies Act requires all Singapore companies to have at least one director who is a resident in Singapore. If you are a non-Singaporean and do not intend to relocate to Singapore just for the sole purpose of setting up a business here, you can appoint us as your local Nominee Director to meet the statutory requirements of the Act. We can also act as your Nominee Shareholder, Agent or Corporate Representative depending on your needs.
Registered Office / Virtual Office
One of the statutory requirements for setting up a company in Singapore is that it must have a registered office address. A company cannot be incorporated without first having a physical registered office address in Singapore. We can provide you with a premium registered office address in the Central Business District of Singapore and receive all your business correspondences on your behalf. We can forward documents and parcels to a local or international address as required. In addition, we can provide a virtual office service that includes the provision of a local telephone line and fax and meeting room facilities as required.
De-Registration / Striking Off A Company
Under the Singapore Companies Act, companies can apply to the Accounting and Corporate Regulatory Authority (ACRA) to be struck off the Register of Companies if it can prove that it has ceased operations, and meet certain stipulated conditions. Closing down a company here can be a tedious task and lead to unforeseen complications and penalties if not handled appropriately with the right understanding of the local regulation.
